Terms of Service
These terms govern your use of Speak AI. They are a binding agreement between you and Speak AI Inc. Please read them carefully before using our platform.
The short version
- You own your content. Anything you upload to Speak AI remains your intellectual property.
- We do not train AI on your data. Your content is processed to deliver results, never used to train models.
- Subscriptions auto-renew. Cancel before the renewal date to avoid being charged for the next billing period.
- You are responsible for what you upload. Do not upload content that is illegal, harmful, or that you do not have the rights to use.
- We can modify the service. We may update features, pricing, or these terms with notice to you.
- Ontario law governs disputes. These terms are governed by the laws of the Province of Ontario, Canada.
Section 1
Definitions
The following definitions apply throughout these Terms of Service:
- "Speak AI," "we," "us," or "our" refers to Speak AI Inc., a company incorporated under the laws of Ontario, Canada.
- "Service" means all Speak AI websites, web applications, mobile applications, APIs, AI Chat, Meeting Assistant, AI Agents, transcription services, embeddable media tools, and all related technology and platforms operated by Speak AI Inc.
- "Client," "you," or "your" refers to any individual or entity that accesses or uses the Service, whether through a trial, paid subscription, or any other arrangement.
- "Client Materials" means all source content uploaded to the Service for processing, including but not limited to audio files, video files, text documents, images, and any other media or data you submit.
- "Processed Works" means the outputs generated by the Service from your Client Materials, including but not limited to transcripts, summaries, AI-generated analyses, sentiment reports, keyword extractions, AI Chat responses, and any other derived content.
- "Account" means the account you create to access and use the Service, including all associated settings, configurations, data, and subscription information.
- "Order" means any purchase, subscription, or plan selection made through the Service, including trials and pay-as-you-go usage.
- "Confidential Information" means any non-public information disclosed by either party to the other in connection with the Service, including Client Materials, Processed Works, business data, technical information, and trade secrets.
- "Third-Party Providers" means the external service providers that Speak AI uses to deliver parts of the Service, including cloud hosting providers, AI model providers, payment processors, and analytics platforms.
Section 2
Using Our Services
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these terms. You must not:
- Use the Service in any way that violates any applicable federal, provincial, state, local, or international law or regulation.
- Upload, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Upload content that you do not have the right to make available, including content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
- Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.
- Interfere with or disrupt the Service, servers, or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
- Use any automated means (including bots, scrapers, or crawlers) to access the Service for any purpose without our express written permission, except through our published APIs in accordance with their documentation.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof.
- Resell, sublicense, or redistribute the Service or any Processed Works generated by the Service in a manner that competes with the Service itself.
Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Speak AI of any unauthorized use of your account or any other breach of security. Speak AI will not be liable for any loss or damage arising from your failure to maintain the security of your account.
If you are using the Service as part of a team or organization, the account administrator is responsible for managing user access, permissions, and compliance with these terms by all users under the organization's account.
Section 3
Orders, Payments, and Subscriptions
Subscription Plans
Speak AI offers multiple subscription tiers to serve different needs: Free Trial, Pay-as-you-go, Starter, Pro, Team, and Enterprise. The features, usage limits, and pricing for each plan are described on our pricing page and may be updated from time to time. By subscribing to a plan, you agree to pay the applicable fees as described at the time of purchase.
Credits and Usage-Based Billing
Certain features of the Service operate on a credit-based or usage-based billing model. Credits may be included with your subscription plan or purchased separately. Usage beyond your plan's included allocation may incur additional charges as described in your plan details. You are responsible for monitoring your usage and understanding the billing implications of your plan.
Auto-Renewal
All paid subscriptions automatically renew at the end of each billing period (monthly or annual, depending on your plan) unless you cancel before the renewal date. Upon renewal, you will be charged the then-current rate for your plan. We will make reasonable efforts to notify you of any pricing changes before they take effect.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service for the remainder of the period you have already paid for.
Refund Policy
If you have an active subscription and do not cancel before the renewal date, no refund will be issued except in extraordinary circumstances at our sole discretion. In cases where a refund is granted:
- Usage time (the portion of the billing period already used) will be deducted from the refund amount on a pro-rata basis.
- Payment processing fees charged by Stripe or other payment processors are non-refundable and will be deducted from any refund.
Free trial users are not charged unless they choose to subscribe to a paid plan.
Minimum Charge
Due to payment processing costs, the minimum billable amount for any transaction is $10 USD.
Payment Processors
Speak AI uses third-party payment processors to handle transactions securely. Our current payment processors include:
- Stripe for web-based subscription and one-time payments.
- Paddle for certain international transactions and tax compliance.
- RevenueCat for mobile application in-app purchases and subscriptions.
By making a payment through the Service, you agree to the terms and privacy policies of the applicable payment processor. Speak AI does not store your full credit card or payment details on our servers.
Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying all taxes associated with your use of the Service, except for taxes based on Speak AI's net income. Where required by law, Speak AI will collect and remit applicable sales taxes.
Section 4
Cloud Service Providers
The Service is built on and delivered through third-party cloud infrastructure and service providers. These include, but are not limited to, Amazon Web Services (AWS), MongoDB Atlas, Microsoft Azure, Google Cloud Platform, and other providers as described in our Privacy Overview.
Your Client Materials and Processed Works may be stored and processed using these providers' infrastructure. All third-party providers process data under contractual protections, including data processing agreements and, where applicable, Business Associate Agreements (BAAs).
While we carefully select and monitor our providers, Speak AI does not control the operations of third-party infrastructure and cannot guarantee that their services will be uninterrupted, error-free, or immune to security incidents. We will notify you in accordance with applicable law if a security incident at a third-party provider affects your data.
By using the Service, you acknowledge and agree that your data may be processed by these third-party providers as necessary to deliver the Service to you.
Section 5
Client Materials Disclosure
To provide the Service, Speak AI shares your Client Materials with third-party AI and technology providers solely to process your requests and return results. This includes providers such as OpenAI, Anthropic, Google, Microsoft, Amazon, Deepgram, and AssemblyAI.
These providers receive your data only as needed to perform the specific function you have requested (for example, transcription, summarization, or AI Chat responses). Your data is not provided to these providers for model training purposes. We maintain contractual agreements with our providers that govern how they handle your data.

Speak AI may also disclose your information if required to do so by law, or in the good-faith belief that such action is necessary to:
- Comply with a legal obligation, court order, or legal process.
- Protect and defend the rights or property of Speak AI Inc.
- Prevent or investigate possible wrongdoing in connection with the Service.
- Protect the personal safety of users of the Service or the public.
Section 6
Intellectual Property
Your Content
You retain all ownership rights in your Client Materials. By uploading content to the Service, you grant Speak AI a limited, non-exclusive license to use, store, process, and display your Client Materials solely for the purpose of operating and delivering the Service to you. This license terminates when you delete your content or close your account.
Processed Works derived from your Client Materials are yours. Speak AI claims no ownership over transcripts, summaries, AI-generated analyses, or other outputs produced from your content.
We do not train AI models on your content. Speak AI does not use your Client Materials or Processed Works to train, fine-tune, or improve any artificial intelligence or machine learning models, whether our own or those of our third-party providers.
Service Improvement
Speak AI may review anonymized usage patterns and debug transcription, AI Chat, and other service interactions to improve prompts, instructions, and in-app performance. This is operational improvement of our service, not model training. Your content is not extracted, aggregated, or fed into training datasets.
When you use features like Custom Vocabulary or configure AI Agents with custom instructions, you are choosing to provide data that shapes how AI models respond within your account context. This is user-directed and remains within your account.
Feedback
If you provide Speak AI with feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant Speak AI a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, modify, and incorporate such Feedback into the Service without any obligation to you. You are not required to provide Feedback, and Feedback is provided voluntarily.
Our Intellectual Property
The Service, including its design, features, software, algorithms, documentation, and all related intellectual property, is owned by Speak AI Inc. and protected by Canadian and international intellectual property laws. These terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these terms.
All content available through the Service, including text, graphics, logos, icons, images, audio clips, and software, is the property of Speak AI Inc. or its content suppliers and is protected by Canadian and international copyright laws.
The Speak AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Speak AI Inc. You must not use such marks without our prior written permission.
Section 7
APIs
Speak AI provides application programming interfaces (APIs) that allow you to integrate the Service with your own applications, workflows, and systems. Your use of the Speak AI APIs is subject to these Terms of Service and any additional API-specific documentation or guidelines we publish.
By using the APIs, you agree to:
- Comply with all rate limits, usage quotas, and technical requirements as documented.
- Not use the APIs in any manner that could damage, disable, overburden, or impair the Service.
- Not use the APIs to build a product or service that competes directly with the Speak AI Service.
- Keep your API keys confidential and not share them with unauthorized parties.
- Accept that API availability, endpoints, and functionality may change over time, and that we will make reasonable efforts to communicate breaking changes in advance.
Speak AI reserves the right to suspend or revoke API access at any time if we determine, in our sole discretion, that your use of the APIs violates these terms or poses a risk to the Service or other users.
The APIs are provided on an "as is" basis. Speak AI does not guarantee that the APIs will be available at all times or that they will meet your specific requirements.
Section 8
Warranties and Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
To the fullest extent permitted by applicable law, Speak AI Inc. disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, Speak AI Inc. does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from the use of the Service, including transcriptions, AI-generated summaries, analyses, or other Processed Works, will be accurate, reliable, or complete.
- The quality of any products, services, information, or other material obtained through the Service will meet your expectations.
- Any errors in the Service will be corrected.
Speak AI supports transcription, analysis, and AI processing in 100+ languages. Accuracy may vary by language, audio quality, speaker accent, domain-specific terminology, and other factors. You are responsible for reviewing and verifying all Processed Works before relying on them for any purpose.
No advice or information, whether oral or written, obtained from Speak AI Inc. or through the Service shall create any warranty not expressly stated in these terms.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights under applicable law.
Section 9
Indemnity
You agree to indemnify, defend, and hold harmless Speak AI Inc., its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service or any activity under your account.
- Your violation of these Terms of Service.
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or any other proprietary rights.
- Any content you upload, transmit, or otherwise make available through the Service, including any claim that your Client Materials infringe or violate the rights of any third party.
- Your violation of any applicable law or regulation.
Speak AI Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Speak AI Inc. in asserting any available defenses.
Section 10
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Speak AI Inc., its officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with:
- Your use of or inability to use the Service.
- Any unauthorized access to or alteration of your data, transmissions, or content.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service, including any errors, inaccuracies, or omissions in transcriptions, AI-generated outputs, or other Processed Works.
- Any other matter relating to the Service.
In no event shall Speak AI Inc.'s total aggregate liability to you for all claims arising out of or related to these terms or the Service exceed the greater of: (a) the total amount you paid to Speak AI Inc. during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100.00).
The limitations of liability set forth above are fundamental elements of the basis of the agreement between Speak AI Inc. and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
Section 11
General
Governing Law
These Terms of Service and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in London, Ontario, Canada, for the resolution of any disputes arising out of or related to these Terms of Service or the Service.
Entire Agreement
These Terms of Service, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Speak AI Inc. with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision, which shall remain in full force and effect.
Waiver
The failure of Speak AI Inc. to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by Speak AI Inc.
Assignment
You may not assign or transfer these terms or your rights under them, in whole or in part, without the prior written consent of Speak AI Inc. Speak AI Inc. may assign these terms at any time without notice to you, including in connection with a merger, acquisition, or sale of assets.
Notices
Speak AI Inc. may provide notices to you via the email address associated with your account, through the Service interface, or by posting on the Speak AI website. You are responsible for keeping your contact information current. Notices to Speak AI Inc. should be sent to success@speakai.co.
Force Majeure
Speak AI Inc. shall not be liable for any failure or delay in performing its obligations under these terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, power failures, or failures of third-party service providers.
Section 12
Cookies
A cookie is a small piece of data stored on your computer or mobile device by your web browser. Speak AI uses cookies and similar technologies to operate the Service, remember your preferences, understand how you use the Service, and improve your experience.
We use both session cookies (which expire when you close your browser) and persistent cookies (which remain on your device until they expire or you delete them). We also use cookies set by third-party services that we use, such as analytics and advertising platforms.
You can control cookie settings through your browser preferences. Note that disabling cookies may affect the functionality of the Service. For complete details on our use of cookies and tracking technologies, please refer to our Privacy Policy.
Section 13
Termination
Termination by You
You may terminate your account at any time by cancelling your subscription (if applicable) and deleting your account through the Service's account settings, or by contacting us at success@speakai.co. Upon termination, your right to use the Service will immediately cease.
Termination by Speak AI
Speak AI Inc. may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms of Service.
- Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the business interests of Speak AI Inc.
- Extended periods of inactivity.
- Requests by law enforcement or government agencies.
- Discontinuation or material modification of the Service.
Effect of Termination
Upon termination of your account, Speak AI Inc. may delete your account data, Client Materials, and Processed Works. We recommend that you export any data you wish to retain before terminating your account. Speak AI is not obligated to retain your data after account termination.
The following provisions shall survive termination of these terms: Sections 6 (Intellectual Property), 8 (Warranties and Disclaimers), 9 (Indemnity), 10 (Limitation of Liability), and 11 (General), as well as any other provisions that by their nature should survive.
Section 14
Changes to These Terms
Speak AI Inc. reserves the right to modify these Terms of Service at any time. When we make material changes, we will update the "Last modified" date at the top of this page and may provide additional notice through the Service or via email.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Service and, if applicable, cancel your subscription.
We encourage you to review these Terms of Service periodically to stay informed of any updates.
Section 15
Additional Conditions
Logo Use
We may feature your organization's logo on the Speak AI website to indicate that you use our platform. If you prefer not to be featured, contact us at success@speakai.co and we will remove it promptly.
Minimum Charge
Due to payment processing costs, the minimum billable amount for any Speak AI transaction is $10 USD. This applies to all payment methods and subscription types.
Refund Deductions
In the event that a refund is approved at our discretion, the following deductions apply:
- Pro-rata usage for the portion of the billing period already consumed.
- Non-refundable payment processing fees charged by Stripe or other payment processors (typically 2.9% + $0.30 per transaction).
Third-Party Links
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Speak AI Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Speak AI Inc. shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available through any third-party websites or services.
Electronic Communications
By creating an account or using the Service, you consent to receiving electronic communications from Speak AI, including email and notifications through the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
